1. Who we are and what these terms cover

These terms govern your use of Nooky: the Mac app, your Nooky account, the AI assistant Nook (“Nook AI”), Nooky Pro and the website nookyai.com (together, the “Service”). The Service is provided by Alpay Kücük – Nooky, Lützowstraße 54, 44628 Herne, Germany (“we”, “us”). You can reach us at contact@nookyai.com.

By creating an account or using the Service, you agree to these terms. Please also read our Privacy Policy.

2. Beta

Nooky is in beta. Features, limits and available AI models can change, and the Service may contain errors or be temporarily unavailable. We will tell you in the app about changes that affect a paid plan before they take effect.

3. Who may use Nooky

You must be at least 18 years old to create an account and use the Service. An account is for one person. Keep access to your Mac and your sign-in (Apple, Google or email) secure; you are responsible for what happens in your account.

4. Your account

• You sign in with Apple, Google or a link sent to your email address. An account is required to use Nooky.
• You can sign out at any time and delete your account in the app under Settings › Account › Delete Account. Deleting ends a running Nooky Pro plan immediately (see section 8) and cannot be undone.
• We may suspend or close an account that breaks these terms (section 7), as described in section 12.

5. The app and your projects

Nooky runs on your Mac. It finds your projects, reads their files and Git history, runs developer tools and, when you ask it to, starts your projects. Your projects, files, chats, your office and your Nook Coins stay on your Mac; they only leave it when you send them to Nook AI (section 6) or connect a third-party service yourself (section 10).

Nooky can change files and run commands on your Mac on your instructions or after you approve them. Keep backups of your work. You are responsible for the projects you create with Nooky and for how you use them.

6. Nook AI

Nook is an AI assistant that answers questions and builds projects with you. It is powered by AI models of third-party providers (currently Anthropic’s Claude models). When you use Nook, your messages and the content Nook needs for its answer — for example images you add, contents of files in your project and the output of commands — are sent through our servers to the AI provider.

• Check what Nook produces. AI output can be wrong, incomplete, insecure or similar to existing material. Review code, commands and texts before you rely on them, publish them or run them. Nook does not give legal, medical, tax or financial advice.
• You decide. Nook asks before it runs commands or changes files, unless the mode you chose (for example “Auto”) or a rule you saved allows it. Choosing a mode, saving a rule and approving a command or change are your decisions, and you are responsible for them.
• Nook Energy. Nook AI comes with a monthly usage allowance (“Nook Energy”), shown in the app. When it runs out, Nook takes a break until it refills at the start of the next month. The free plan has a smaller allowance than Nooky Pro, and the free plan may also pause when free usage across all users reaches its monthly limit. Energy has no monetary value and does not carry over.
• We may change the AI models on offer, how “Auto” chooses a model and the size of allowances, especially during the beta.

7. Rules for using Nooky

You may not use the Service to:

• break the law or infringe the rights of others, including copyright and privacy rights;
• create malware, attack systems, or get around security measures, limits or payment — including creating several accounts to get more free Nook Energy;
• access the Service by automated means other than the Nooky app, resell it, or give others access through your account;
• send content to Nook AI that you are not allowed to share, or personal data of other people without a legal basis;
• violate the rules of the AI providers, in particular Anthropic’s Usage Policy, which also applies to your use of Nook AI;
• break the rules of your school or university, for example on independent work.

8. Nooky Pro

• Nooky Pro is a monthly subscription with a larger Nook Energy allowance and more AI models, as described in the app. The price is shown at checkout.
• Nooky Pro is sold by Link (Sold through Link, LLC, a Stripe company) as merchant of record. Payment, invoices, taxes, and your rights of withdrawal and refunds for the purchase are governed by Link’s terms shown at checkout. For questions about a payment, you can contact Link support or us.
• The subscription renews every month until you cancel. You can cancel at any time in the app under “Manage Subscription”; Pro then stays active until the end of the paid period.
• If you delete your account, a running subscription ends immediately and remaining days are not refunded. The app tells you before you confirm.

9. Nook Coins and the game

Nook Coins, furniture and other items in your office and in town are part of the game in the app. They have no monetary value, cannot be exchanged for money or transferred, and are stored on your Mac — they can be lost if you delete the app’s data. Nook Coins currently cannot be bought with real money.

10. Third-party services

Some features use services of others under their own terms, for example GitHub if you connect your GitHub account, your own Claude subscription if you let Nooky use the Claude command-line tool installed on your Mac, and developer tools (such as Git, Xcode, Node.js or XcodeGen) that Nooky helps you install from their official sources. We are not responsible for those services.

11. Rights

We grant you a personal, non-exclusive, non-transferable right to use the Nooky app and the Service for as long as you have an account. The app, its design, Nook and all other content of the Service belong to us or our licensors. Third-party components are listed in the app under About › Acknowledgements.

What you create with Nooky is yours, as far as the law allows. You allow us to process your content only as far as needed to provide the Service, in particular to pass it to the AI provider. We do not use your content to train AI models.

12. Suspension and termination

You can stop using the Service at any time and delete your account in the app. We may end a free account with four weeks’ notice. We may suspend Nook AI for an account, or close it, without notice if there is an important reason, in particular a serious or repeated breach of section 7. A suspended account keeps working in the app, but cannot use Nook AI.

13. Liability

We are liable without limitation for damage caused intentionally or through gross negligence, for injury to life, body or health, under the German Product Liability Act, and where we have given a guarantee. In cases of slight negligence, we are only liable for breaches of essential obligations — obligations whose fulfilment makes proper performance of the contract possible in the first place and on which you may regularly rely — and limited to the damage that is typical and foreseeable for the contract. Otherwise, our liability is excluded. For loss of data, we are liable only for the effort that would have been needed to restore it from regular backups.

14. Changes to these terms

We may change these terms, for example when we add features or the law changes. We will tell you about changes in the app at least four weeks before they take effect. If you do not agree, you can delete your account before then; if you keep using the Service after the changes take effect, the new terms apply. We will point this out when we tell you about the change.

15. Governing law and disputes

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, you keep the protection of the mandatory provisions of the law of the country where you live. We are neither obliged nor willing to take part in dispute resolution proceedings before a consumer arbitration board.
